Job Description

The Corporate Paralegal works collaboratively across the Corporate Law team and other important partners to enhance the productivity of the team by administering systems and supporting projects that improve the efficiency of the Corporate Law team while aligning with our values of Customer, Pursuit of Excellence, Speed, Integrity and People. Your work will focus in one or more of the following areas: corporate governance, subsidiary management, public company SEC matters including Section 16 reporting compliance. You will report to legal counsel and work out of headquarters in Milwaukee, WI.

Your Responsibilities:

  • Provide legal assistance to attorneys on corporate governance and/or securities compliance matters
  • Manage overall entity administration and entity management database, including updating corporate records (such as minutes, meetings, stock records, filings, apostilles), train and oversee US and non-US users of entity database, conduct periodic audits of entity data
  • Help draft corporate resolution documents, organizational documents, and similar documents, manage US subsidiary annual report filings, review and facilitate corporate secretarial matters and document requests needed by the global team, and manage registered agent relationship
  • Manage global subsidiary list and organizational chart
  • Help with insider trading program, including preparing and filing Section 16 reports, and managing insider lists, trading windows, and EDGAR codes
  • Help with annual meeting of shareowners including year-end questionnaires, proxy statement and meeting logistics
  • Help with shareowner relations including individual shareowner line inquiries and relationship with transfer agent
  • Help with Board matters including advice, attendance records, updates to the investor relations site, director compensation, and dividends
  • Communicate information to people in all levels of the organization· Provide general administrative support to assigned attorneys, for example: preparing expense reports, arranging travel, organizing and scheduling meetings and conferences, handling logistics of trips, managing team calendar, processing invoices, and assisting with mailings

The Essentials - You Will Have:

  • Bachelor's degree or paralegal certificate from an ABA accredited program
  • Legal authorization to work in the U.S. We will not sponsor individuals for employment visas, now or in the future, for this job opening.

The Preferred - You Might Also Have:

  • 10+ years of experience as an in-house corporate paralegal or paralegal within a law firm.
  • Strong experience with public company securities compliance or corporate governance
  • Proficiency in database use and management
  • Ability to maintain strict confidence in communications
  • Willing to work outside normal working hours and as part of a global team
